What Boards Should Know to Support Foreign Expansion
With or Without Foreign Investments

Program Overview - Foreign expansion offers many opportunities and a unique set of challenges.  Understanding these issues is critical to successfully penetrating foreign markets and /or establishing foreign operations.  Our panelists, who have deep domain expertise in foreign expansion, serve as officers and directors of companies that have successfully expanded their operations globally.  They will discuss key board/management issues related to successful foreign expansion.  Topics will include entity selection when establishing a foreign presence; understanding and navigating political risks; widely divergent regulatory, antitrust, HR and governance environments; legal risk and director liability; and financing considerations in the context of foreign expansion.

Jim Dixon (Moderator) brings more than 25 years of technology management experience to his role as president and chief executive officer of Applied Intelligence Solutions (AIS), a developer of advanced pattern-recognition software.  AIS is headquartered in Westminster, CO and has development offices in Moscow, Russia.  Mr. Dixon was recruited to found AIS from Forseon Corporation, where he served in a variety of roles in his eighteen years with the company, culminating with his role as senior vice president of product management and information technology.  Forseon was acquired by Towne Services (NASDAQ) where he led the integration of the two firms and subsequently served on Towne’s leadership team.  Mr. Dixon is an active conference speaker and panel participant on the subject of technology and its impact on the retail industry. In addition to serving on his own board, he has also served as a director for Charter Data Systems, a leading provider of software for the retail industry headquartered in Bristol, TN; and the Association of Retail MIS Executives (ARMIS), a non-profit retail industry information technology association. He also serves on the Advisory Board of NACD-CO.

David Meachin is founder, Chairman and Chief Executive Officer of Cross Border Enterprises, LLC, an internationally-oriented boutique investment bank that assists IT and technology focused companies with their investment banking and business development needs.  He has served on public SEC-reporting company boards for 15 years, including Lyondell Chemical Company (NYSE), Millennium Chemicals, Inc. (NYSE) and The Ground Round (NASDAQ).  He has also served on the board of an Indian Emerging Growth Fund.  He is currently an Independent Director of Metha Energy Solutions Inc., a U.S. company deploying Danish technology focused on commercializing innovative fuel cell technology for the transportation and off-grid markets. Previously he served for 10 years as a Managing Director of Merrill Lynch & Company in New York after being associated with Salomon Brothers in New York and London and with Smith, Barney & Co. in New York and Tokyo. He started his career as a Project Engineer for Humphreys and Glasgow Ltd., a London-based international chemical plant contracting company.  He has lived and worked in New York, Tokyo, London, Paris, South Africa and Zimbabwe and traveled extensively on business throughout the world. Mr. Meachin is a citizen of both the United States and the United Kingdom and received his MBA with Distinction from Harvard Business School.  He holds graduate qualifications from Cambridge University and the French Petroleum Institute, Paris and Chemical Engineering and Physical Science degrees respectively from the University of Cape Town and the University of Natal in South Africa. He is listed in Who's Who in America, Who's Who in the World and Who's Who in Finance.
Bill Owens is a principal in Front Range Resources, an infrastructure based water and land development company with projects in Colorado, Arizona and Texas. He is also a Senior Advisor at PCL Construction Enterprises, Inc., the fifth largest construction company in the U.S.  Bill Owens serves on the boards of Key Energy Services (NYSE), Cloud Peak Energy (NYSE), Keating Capital Inc. and FESCO, a Russian holding company with interests in shipping, railroads and ports, which is listed on the Moscow exchange. He is also an advisor to two private equity firms.  He served two terms as Governor of Colorado from 1999-2007.  During his two terms, he was committed to improving Colorado's transportation infrastructure, reforming education and lowering the tax burden for families and businesses.  Under his leadership, TREX - one of the largest road/rail transportation projects in U.S. history - was authorized and built, on time and on budget.  Prior to his election as Governor, he served as State Treasurer for four years where he was responsible for the management of a $4 billion portfolio and served on the board of Colorado's $25 billion pension fund.  Prior to being State Treasurer, he was non-executive Vice Chairman of the Royal Bank of Scotland (Global Banking and Markets), a consultant with today's Deloitte & Touche, with the Gates Corporation and a director of a statewide trade association.  Gov. Owens earned a Master's degree in public affairs from the University of Texas, where he was awarded a two-year fellowship, and his Bachelor of Science from Stephen F. Austin State University.  He is a Senior Fellow at the University of Denver's Institute for Public Policy Studies.
Samuel Walker brings extensive legal experience to his role at Molson Coors, where he has served as Vice President Global Chief Legal Officer/Corporate Secretary of Molson Coors Brewing Company since 2005 and, previously, US & worldwide Chief Legal Officer and Group Vice President at Coors Brewing Company since 2002. Mr. Walker¹s experience also includes serving as a partner for 10 years at the Washington, DC law firm of Wiley Rein & Fielding, LLC, where he handled trial and non-trial matters for consumer products companies. He also brings US government experience to his role, having run the Employment Standards Administration, the largest agency in the US Department of Labor. He also held a sub-cabinet position in the US Department of Education and served as Assistant Clearance Counsel during the 2000 presidential transition. He received his undergraduate degree from Duke University and a Juris Doctor degree from Harvard Law School.
