Legal and Political Risks in the “New Normal” for Directors

Program Overview: This informative presentation is based on a the ramifications that new federal proposed legislation, guidelines and regulations have and will have on the ability of board members to carry out the processes for which board members are responsible – a “new normal” for directors, if you will.  How will proposed legislation and regulations, such as say-on-pay, proxy access, majority vote for directors, risk oversight and others affect boards’ ability to set strategy and conduct business with this new government oversight?  A public policy expert from the Washington, DC office of Patton Boggs will discuss with us the various pending legislation and regulatory directives that are being brought about by federal government intervention.  In addition, a facilitator from the University of Colorado Law School will help bring the directors in the audience, instead of a panel, into the discussion of how these changes will affect directors and the way they function.  This presentation should be of interest to both early stage and larger company boards.

Presenter: Nick Allard is Co-Chair of Patton Boggs LLP’s Public Policy and Administrative Law Department in Washington, DC. He draws on his understanding of legislative, regulatory and administrative matters to counsel clients in the fields of telecommunications, information technology, health, energy, environmental law and higher education. His clients include domestic and international organizations, ranging from start-ups to Fortune 500 companies. He also represents non-profit organizations and public and private universities.  In addition to his experience in private practice, Mr. Allard has significant political and legislative experience. He served as Administrative Assistant and Chief of Staff to the late Senator Daniel Patrick Moynihan from 1986 to 1987, and from 1984 to 1986, he was Minority Staff Counsel to the Senate Committee on the Judiciary, where he served as legal counsel to Senator Edward Kennedy.  Mr. Allard is a prolific author on a broad range of issues, including more than 20 articles on Internet law, new media and privacy. He contributes to and is on the advisory board of several legal publications, including the Hastings Communication and Entertainment Law Journaland the Shidler Center's e-journal at the University of Washington School of Law. Mr. Allard also speaks frequently at professional conferences in the United States and abroad. He is a graduate of Princeton and Oxford Universities, and was a Rhodes Scholar. After receiving his law degree from Yale University, he served as law clerk for Chief United States District Judge Robert F. Peckham in San Francisco and for United States Circuit Judge Patricia M. Wald in Washington, DC.

 
Facilitator:  Mark Loewenstein, Monfort Professor of Commercial Law, joined the faculty of the University of Colorado Law School in 1979, leaving a mergers and acquisitions practice in a Chicago law firm. His research interests center on business associations and securities law, with a particular interest in corporate governance, and he has had articles published in a variety of law reviews, including the Duke Law Journal, the Southern California Law Review and the Georgetown Law Journal. During the 1990-91 academic year, he was a Fulbright scholar and visiting professor of law at Hokkaido University in Sapporo, Japan, and presented papers at various Japanese law schools on topics ranging from corporate law to U.S. constitutional law. In 1999, Professor Loewenstein was a visiting professor of law at the University of Michigan Law School. During his career, Professor Loewenstein has actively served both the Law School and the state of Colorado. In addition to serving on numerous committees, he was associate dean for academic affairs for nine years and the associate dean for research for four years. From 1995 to 2000, he served as a member of the state's Securities Board, which oversees the Colorado Commissioner of Securities. He has also been an active member of the Colorado Bar Association's Corporate Law Revision Committee, including the subcommittee that drafted the 1994 Colorado Business Corporation Act. He co-authored the comments to that Act. From 1999 to 2005 served as a delegate to the ABA House of Delegates and is an active member of the ABA’s business law committee.  Professor Loewenstein received J.D. (cum laude) and A.B. degrees from the University of Illinois – Champaign-Urbana.
